Overview

What this filing actually does

Form MSME-1 is a half-yearly return filed with the Registrar of Companies, disclosing dues to micro and small enterprise suppliers outstanding beyond 45 days.
It applies to all companies (private, public, OPC, Section 8) that buy goods or services from micro or small enterprises — medium enterprises are not covered.
The two filing windows: April–September (due October 31) and October–March (due April 30).
If there are no dues pending beyond 45 days, no filing is needed — there is no nil return.
The form is filed on the MCA portal with the digital signature of an authorised signatory, and filings are publicly visible.

Benefits

Why companies get this done through us

Open each benefit to see what it means for you.

Deadlines never slip

We track both half-year windows for you and start preparation well before the due date.

Supplier classification done right

Knowing which of your vendors are actually registered micro or small enterprises is half the battle. We help you identify them correctly.

Reasons for delay, worded carefully

The form requires reasons for each delayed payment — and it is all public. We help you state reasons accurately without unnecessary exposure.

Penalties avoided

Non-filing when required attracts penalties on the company and officers in default. A timely filing costs far less than the alternative.

Documents

Documents you will usually need

Clear, current documents matter more than a long checklist. Names, dates of birth and addresses should match across records.

0 documents marked ready Tick what you already have. This checklist resets when you leave the page.

Process

How we handle your filing

You’ll see each stage, what’s pending and what we need from you — so filings don’t bounce back.

Step 1 of 4

Identify your MSME suppliers

We help you determine which vendors are registered micro or small enterprises and therefore in scope.

Age the outstanding dues

Your payables are analysed against the 45-day rule to find what must be reported.

Prepare the return

Form MSME-1 is compiled with supplier details, amounts, ageing, and reasons for delay.

File with DSC on MCA

The return is digitally signed and filed before the half-year deadline, and you receive the acknowledgement.

If a founder or investor is outside India

Foreign ownership is possible in many sectors, but it adds document authentication, banking and FEMA work. Set the route before funds move.

Plan before you start

  • Check whether your sector permits automatic-route foreign investment
  • Confirm the Indian resident director arrangement
  • Map ownership, beneficial ownership and pricing
  • Allow time for apostilled or consularised documents

Plan for after setup

  • Receive funds through permitted banking channels
  • Complete RBI/FEMA reporting and keep the bank evidence
  • Coordinate tax and ongoing compliance advice early

No. If nothing is outstanding beyond 45 days at the period end, there is no filing — and no nil return either.
No. Form MSME-1 covers dues to micro and small enterprises only. Dues to medium enterprises are outside its scope.
Penalties under the Companies Act can apply to the company and every officer in default. Beyond the money, the filing is public — lenders and vendors can see it.
Yes, late filing is possible with additional fees. File now rather than waiting for the next half-year — the exposure only grows.
Ask for their Udyam registration — it states the category. We help clients build this check into their vendor onboarding.
45 days from the date of acceptance (or deemed acceptance) of the goods or services — not the invoice date, though they often coincide.
No. Samadhaan is where MSMEs complain about delayed payments; MSME-1 is your company's own disclosure to the ROC. Both relate to the same 45-day rule.
