Changing of the Name

The name of Company is something which gives it a separate identity and sometimes a Company may need to change its name because of numerous reasons like change in the management or change in the objective of the Business. Sometimes re-branding of Company and restructuring may also be a reason of change in name. Name of Company lie in the 1st line of Memorandum of Association therefore change in the name of company must begin with a Special Resolution and approval by the Ministry of Corporate Affairs.

If a company plans to change anything that affects its certificate of incorporation or its article of association or its memorandum then company needs to file for its approval to MCA. After approval of MCA, ROC issues final approval; this is the procedure of change in most cases.

PROCEDURE OF CHANGING COMPANY NAME

    Calling Board Meeting

    A Board meeting is convened to discuss name change and a Board member, or Company secretary is asked to file with MCA for availability of name.

    Receiving approval of the name by MCA

    Once MCA scrutinize the Name application, it approves by a mail and the authorized person applies for name change.

    Convene General Meeting

    Once the name is available, the Company is required to convene a General Meeting and pass Special Resolution for change of name and amendment in MOA & AOA.

    Filing Resolution (MGT-14) with ROC

    At this stage, Company Registrar will issue new COI, and finally Memorandum of Association and Article of Association are amended to reflect change in company name

    Applying for approval (INC-24) by Central Government

    Finally, a Form (INC-24) needs to be filed to Indian Central Government to give effect to Name Change. Upon acceptance, Company name will finally be changed
