Overview

What DPT-3 actually is

DPT-3 is the annual return of deposits a company files with the Registrar of Companies under the Companies (Acceptance of Deposits) Rules.
It is due every year by 30 June, covering the financial year that ended on 31 March.
It covers not just public deposits - loans from directors, shareholders, banks, and even certain advances all get reported.
Companies with no deposits at all still file a nil DPT-3. Filing nothing is not an option.

Benefits

Why founders file DPT-3 through us

Open each benefit to see what it means for you.

Correct classification, first time

Director loans, inter-corporate deposits, security deposits from customers - each goes in a different bucket. Misclassification is the most common DPT-3 mistake we see.

Auditor certificate arranged

The form needs a certificate from your statutory auditor. We coordinate with them so you are not chasing signatures in the last week of June.

Late filings rescued

Missed a previous year? We file the backlog and compute the additional fee honestly before you commit.

Part of your annual calendar

If you use us for your ROC annual filings, DPT-3 sits in the same calendar - you never have to remember it yourself.

Documents

Documents you will usually need

Clear, current documents matter more than a long checklist. Names, dates of birth and addresses should match across records.

0 documents marked ready Tick what you already have. This checklist resets when you leave the page.

Process

How we handle your DPT-3 filing

You’ll see each stage, what’s pending and what we need from you — so filings don’t bounce back.

Step 1 of 4

Borrowing review

We go through your books and list every amount that counts as a deposit or exempted deposit under the rules.

Classification

Each borrowing is classified - director loans with declarations, bank borrowings, security deposits - so the form is accurate.

Auditor certificate

We get the statutory auditor's certificate on the return, as the form requires.

Filed with the ROC

DPT-3 is filed on the MCA portal before 30 June, and you get the SRN and acknowledgement for your records.

If a founder or investor is outside India

Foreign ownership is possible in many sectors, but it adds document authentication, banking and FEMA work. Set the route before funds move.

Plan before you start

  • Check whether your sector permits automatic-route foreign investment
  • Confirm the Indian resident director arrangement
  • Map ownership, beneficial ownership and pricing
  • Allow time for apostilled or consularised documents

Plan for after setup

  • Receive funds through permitted banking channels
  • Complete RBI/FEMA reporting and keep the bank evidence
  • Coordinate tax and ongoing compliance advice early

Yes. A nil return is required. The MCA expects the form from every company except government companies.
Yes, it is reported as an exempted deposit - provided the director has given the required declaration that the money is not borrowed. Without that declaration, the treatment changes.
30 June every year, for the financial year ended 31 March. There is no standard extension - plan for June, not after.
Additional fees accrue per day of delay, and the ROC can treat continued default seriously. File the backlog as soon as possible - the meter does not stop on its own.
Your statutory auditor. If you don't have one engaged or they are unresponsive, talk to us - we coordinate this as part of the filing.
Yes, as exempted deposits. Practically every borrowing your company has appears somewhere in this form.
You can, but the classification of deposits vs exempted deposits trips up most first-timers. Getting it wrong means a defective filing and a correction cycle.
No. DPT-3 is under the Companies Act for all companies. NBFCs have separate RBI deposit regulations on top.
