Overview

What FC-GPR does

FC-GPR (Foreign Currency - Gross Provisional Return) reports the issue of shares or convertible instruments to a person resident outside India.
It is filed on RBI's FIRMS portal through your Authorised Dealer (AD) bank, within 30 days of the date of allotment.
The filing is linked to the FIRC - the Foreign Inward Remittance Certificate your bank issues when the money arrives.
Shares must be issued at a fair value determined by an accepted valuation method. The valuation report is part of the filing.

Benefits

Why founders report FDI through us

Open each benefit to see what it means for you.

The 30-day clock never slips

We start the FC-GPR process the day the money hits your account - valuation, FIRC, board meeting, filing - sequenced so the 30-day window is comfortable, not frantic.

Valuation done properly

FEMA pricing guidelines require a defensible valuation. We arrange an independent valuation that stands up to scrutiny.

AD bank coordination

The filing goes through your bank on the FIRMS portal. Banks have their own checklists and timelines - we speak their language and keep the file moving.

Downstream filings aligned

FC-GPR connects to your FLA return, your shareholding pattern, and future rounds. We keep the whole FDI trail consistent.

Documents

Documents you will usually need

Clear, current documents matter more than a long checklist. Names, dates of birth and addresses should match across records.

Remittance tracked

We confirm the FIRC with your bank as soon as the foreign funds arrive - this starts the clock.

Valuation and pricing

An independent valuation confirms the issue price meets FEMA pricing guidelines.

Allotment formalities

Board meeting held, shares allotted, share certificates issued, and statutory registers updated.

FC-GPR filed

Filed on the FIRMS portal through your AD bank within 30 days of allotment, with acknowledgement tracked to completion.

If a founder or investor is outside India

Foreign ownership is possible in many sectors, but it adds document authentication, banking and FEMA work. Set the route before funds move.

Plan before you start

  • Check whether your sector permits automatic-route foreign investment
  • Confirm the Indian resident director arrangement
  • Map ownership, beneficial ownership and pricing
  • Allow time for apostilled or consularised documents

Plan for after setup

  • Receive funds through permitted banking channels
  • Complete RBI/FEMA reporting and keep the bank evidence
  • Coordinate tax and ongoing compliance advice early

30 days from the date of allotment of shares to the foreign investor. The remittance itself is reported separately at the time of receipt.
Late filing attracts late submission fees, and longer delays may require compounding with RBI - which is expensive and slow. File on time; it is far cheaper.
Yes. FEMA pricing guidelines require shares to be issued at fair value supported by a valuation. Each allotment to a non-resident needs its own valuation basis.
The Foreign Inward Remittance Certificate is your bank's proof that foreign money arrived and its purpose. FC-GPR cannot be filed without it - get it from your bank promptly.
No. Shares to non-residents are allotted against the inward remittance evidenced by the FIRC. The sequence is: money in, FIRC, valuation, allotment, FC-GPR.
Yes. Issue of convertible notes and other convertible instruments to non-residents is also reported through FC-GPR.
NRI investments on a repatriable basis are also reported. The exact route depends on whether it comes through the automatic route - we confirm this before filing.
The Indian company prepares it; the AD bank submits it on the FIRMS portal. We prepare the filing and coordinate with your bank for submission.
