Is a trade license right for your business?

A good fit if: you run any commercial activity from a physical premises inside municipal limits — a retail shop, office, showroom, warehouse, godown, restaurant, hotel, salon, clinic, workshop or factory. If customers, stock or equipment sit at an address, the municipality wants a license for that address.

Consider alternatives or additions if: your business is purely online with no commercial premises — you may not need a trade license, but you will still need Shops and Establishment registration and GST registration as applicable. If you operate from a notified DSIIDC industrial area as an MSME, your Udyam registration may be deemed as permission under Sections 416/417 — check before applying separately.

What this page does not cover: liquor licenses (excise department), factory licenses under the Factories Act (state), and FSSAI licenses (central) — these are separate permissions, and this page maps how they interact with the trade license where relevant.

Municipal vs state — which permission is which

This is the section prospects most need, because the confusion is expensive. A business owner hears "license" five times in the first month of starting up and assumes they are interchangeable. They are not. Each permission answers a different question from a different authority.

The trade license answers: "May this activity run from this address?" The municipality cares about land use, public health and nuisance — whether a restaurant is running in a residential lane, whether a chemical godown sits next to a school, whether a banquet hall has parking. The license is tied to the premises, not the person. The Delhi High Court has held that the license attaches to the premises and its terms — a valid license for the premises means the activity there is covered, though transfer rules still apply.

Shops and Establishment registration answers: "Are your workers protected?" The state labour department registers your workplace and regulates working hours, leave and employee records. It is about people, not premises.

GST registration answers: "May you collect tax?" It is a tax identity. It says nothing about whether your shop may legally exist at its address.

FSSAI license answers: "Is your food business safe?" It certifies the food operation, not the municipal permission for the premises.

The practical rule: most Delhi businesses need the trade license AND Shops and Establishment AND GST (above threshold) AND FSSAI (if food). Budget for all four. Skipping the trade license because "I have GST" is the most common compliance mistake we see in retail and food businesses — and it is the one that gets premises sealed.

Advantages of holding a valid trade license

1. You operate within the law, not around it

Section 417 of the DMC Act prohibits carrying on specified trades without the Commissioner's license. A valid license converts your business from a violation-in-waiting into a lawful establishment. That matters the moment any authority — MCD, police, fire service, bank — asks for your papers.

2. Renewals, loans and insurance stop being a fight

Banks ask for the trade license when you apply for a business loan or overdraft. Insurance companies ask for it when you claim for fire or theft at the premises. Landlords ask for it at lease renewal. Without it, every one of those conversations starts with a problem.

3. The 15% property-tax model is genuinely simpler

The June 2026 integration removed a separate application, a separate portal and a separate certificate for the General Trade Licence. One login, one payment, one receipt. For a small shop, the annual compliance cost is now a single line item on the property tax bill.

4. Health trade businesses get multi-year validity

Since March 2025, the Health Trade Licence can be taken for up to six financial years at a stretch. That is six years without re-applying — a real reduction in annual paperwork for restaurants, hotels and salons, which are the businesses most burdened by licenses.

5. It protects the business on transfer and succession

The MCD allows license transfer to legal heirs on the licensee's death with a defined process — original license, death certificate, NOC from other heirs, affidavit, and a ₹1,100 registration and processing fee. A business with a valid license is a transferable asset; one without is a liability the heirs inherit.

6. MSME units in industrial areas get a deemed route

MSME units in DSIIDC-established industrial areas do not need a separate factory or trade license application — the Udyam Registration Certificate is recognised as permission under Sections 416/417, with a 5% property-tax fee. This is a genuine ease-of-doing-business win for small manufacturers, if they know about it.

General Trade Licence vs Health Trade Licence vs MSME deemed permission

Most applicants trip on this three-way split. File under the wrong track and you lose weeks.

General Trade/Storage Licence (GTL): for shops, offices, showrooms, warehouses, godowns and storage. Applied under Section 417 of the DMC Act. Since 23 June 2026: no separate application — log in to the MCD property tax portal, enter your UPIC, pay the license fee (15% of property tax) with your annual property tax. The payment receipt is the license. Valid for one financial year, ending 31 March. Renewal = paying again with next year's tax.

Health Trade Licence: for food and public-health trades — restaurants, cafés, bakeries, dairies, hotels, salons, spas, sweet shops, meat shops. Separate application on mcdonline.nic.in to the Public Health Department. Not merged with property tax. Documents uploaded online; eligible trades get the license generated instantly after document upload and fee payment. Fee schedule is category-wise with a ₹550 processing fee. Validity: first license is one financial year; renewals can be taken for up to six financial years. A Delhi Police NOC is no longer required for hotels, restaurants, gaming parlours, auditoriums, amusement parks and swimming pools. Critical: the health trade license is void if the premises is in a non-conforming area — check your locality before applying.

MSME deemed permission: for MSME units in industrial areas established or recognised by GNCTD/DSIIDC, the Udyam Registration Certificate is recognised as permission under Sections 416/417. Fee is 5% of property tax, paid with the tax; the receipt carries an endorsement that the Udyam certificate is being recognised as the license. No separate license is issued. Large industrial units use their allotment letter or lease deed the same way.

The annual renewal — how it works and the penalty clock

The trade license is a yearly permission, and the renewal discipline is where most businesses slip.

General Trade Licence renewal: because the GTL now rides on property tax, renewal happens when you pay the annual property tax with the 15% license fee. The MCD's official brochure sets the window: renew from 1 April to 30 April — within 30 days of expiry — without penalty. After that, a penalty of 5% per month applies, and it doubles at the end of the year (or as the competent authority fixes from time to time).

Health Trade Licence renewal: renew on mcdonline.nic.in before expiry. Documents for renewal: self-attested copy of the original license, last fee receipt (G-8), ID proof, self-declaration, and a recent photograph. Renewals are open well in advance — for FY 2026-27, the portal opened renewals from 1 January 2026.

What late renewal costs: beyond the monetary penalty, operating on an expired license is operating without a license — Section 417 applies the same way. An expired license also blocks the license from being produced for bank, insurance or tenancy purposes, and it complicates any transfer.

The multi-year option: health trade licensees should seriously consider taking the maximum validity (up to six financial years) at renewal. The fee is higher upfront, but it removes five annual renewal cycles — and five chances to miss a deadline.

  • NOC from the land-owning agency, where applicable

Trade license process — step by step

Step 1 — Identify the right track

Confirm whether your activity needs the General Trade Licence, the Health Trade Licence, or qualifies for the MSME deemed route. Check your locality's conforming status — a health trade license is void in a non-conforming area.

Step 2 — Arrange the UPIC and clear property tax (GTL track)

Find your Unique Property Identification Code and make sure property tax dues are cleared or ready to pay. Without the UPIC, the portal will not let you proceed.

Step 3 — Prepare documents

Assemble identity, premises and business documents per the checklist above. For health trades, get the fire NOC and other category documents in parallel — they have their own processing time.

Step 4 — Apply online

  • GTL: log in to the MCD property tax portal, enter the UPIC, and pay the license fee (15% of property tax) with the annual tax. Download the payment receipt — it is your license.
  • Health Trade Licence: go to mcdonline.nic.in, select your zone, choose Trade/Storage Licence, start a new application, fill business and owner details, select the trade category, upload documents in the specified format, pay the processing, registration and license fees online, and submit.

Step 5 — Inspection or instant generation

GTL applications run on self-declaration. Health trade applications: eligible trades get the license generated instantly after document upload and fee payment; others go through departmental verification or inspection.

Step 6 — Download and display

Download the license or receipt and keep it at the premises. Section 430 of the DMC Act penalises failure to produce the license on demand.

Step 7 — Calendar the renewal

Mark 1–30 April for the GTL and the pre-expiry window for the health license. Consider multi-year validity for health trades.

How long does it take?

StageTypical time
Document preparation3–7 days
GTL via property tax portalSame day (payment = license)
Health Trade Licence (instant-eligible)1–3 days after upload and payment
Health Trade Licence (inspection track)2–4 weeks
Fire NOC (if needed for the health license)2–4 weeks — run in parallel

The delay is almost never the portal. It is the documents — name mismatches across GST, PAN and the rent agreement, a missing UPIC, or a fire NOC discovered at the last minute. Fix these before applying, not after.

Fees

General Trade Licence (since 23 June 2026): 15% of the annual property tax for the premises. Example: ₹20,000 property tax means a ₹3,000 license fee. The old area-based slabs (₹200 up to 10 sqm, ₹500 for 10–20 sqm, ₹50 per sqm above 20 sqm) applied before the integration.

MSME deemed permission: 5% of property tax, paid with the tax.

Health Trade Licence (indicative, FY 2025-28; fees rose 15% from 1 April 2025): processing fee ₹550 across most categories; small shops under 10 sqm pay roughly ₹200–₹500 a year; coffee houses around ₹350; banquet halls and canteens pay ₹5,000 registration plus ₹1,000 license fee; catering businesses around ₹6,000 license fee; meat shops around ₹12,000 for two years.

Transfer on death: ₹1,100 registration and processing fee.

*Government fees only; professional service fees are separate.*

How ComplyKart helps

Track identification: we confirm whether you need the GTL, the Health Trade Licence, or the MSME deemed route — and whether your locality is conforming — before you pay anything.

Document preparation: we assemble the identity, premises and category documents, reconcile name mismatches across PAN, GST and the rent agreement, and prepare the self-declaration.

Filing: we file the GTL through the property tax portal or the health trade application on mcdonline.nic.in, upload documents in the specified formats, and pay the fees.

Parallel permissions: where your trade needs a fire NOC or FSSAI license alongside, we run those applications in parallel so one does not hold up the other.

Renewal calendar: we track your financial-year expiry and the April renewal window, and handle multi-year health license renewals.

What we do not do: we do not regularise unauthorised construction — the license cannot cure a building violation, and the MCD states this expressly. We do not guarantee inspection outcomes; we prepare you for them. We do not advise operating without the license while the application is pending.

What happens after the license is issued

Within 30 days: keep the license or payment receipt at the premises; complete linked permissions (fire NOC, FSSAI) that the trade category requires.

Within 6 months: verify the license appears correctly in MCD portal records; for health trades, confirm the validity period granted.

Ongoing: report any change in trade activity, premises area or ownership through the amendment facility. On the licensee's death, heirs should apply for transfer promptly — the process exists, but it requires all heirs' NOC.

Recurring compliance

Annual: renew the GTL with the property tax payment (1–30 April window); renew the health trade license before expiry; keep premises proof and ID documents current.

Event-based: apply for transfer on death of the licensee; file amendments on change of trade, area or constitution; re-apply if the premises shifts — the license is premises-specific.

Penalties for operating without a trade license

Prosecution: Section 417 prohibits carrying on specified trades without the Commissioner's license. Violation attracts prosecution under Section 461 of the DMC Act. The Act's penalty schedule sets the fine for Section 417 offences at ₹1,000, with a daily fine of ₹100 for continuing offences after conviction.

Closure and sealing: the MCD issues closure notices under Sections 407(2), 417 and 423 — courts have upheld sealing of premises operating without a municipal trade license. A license is also liable to cancellation if any statement in the self-declaration is later found false, or if the trade contravenes the Master Plan (MPD-2021) or the Delhi Special Provisions Act.

Revocation and suspension: the Additional Deputy Commissioner or authorised officer may revoke or suspend the license after giving the licensee a reasonable opportunity of being heard. Appeal for restoration lies with the Additional Commissioner once contraventions are removed.

Practical consequences: beyond the statutory penalties, an unlicensed premises faces problems with bank loans, insurance claims, lease renewals and buyer due diligence — the license is one of the first documents any of them asks for.

Common mistakes

1. Assuming GST registration is enough. GST is a tax identity; the municipality wants its own permission. 2. Filing under the wrong track. A restaurant that applies for a GTL instead of a health trade license has paid the wrong fee on the wrong portal and must start over. 3. Ignoring the conforming-area rule. A health trade license for premises in a non-conforming area is void. 4. Discovering the fire NOC on filing day. Restaurants and catering businesses need it; it takes weeks. Start it in parallel. 5. Name mismatches across documents. The portal flags it; reconcile PAN, GST and rent agreement names before applying. 6. Missing the April window. The 5%-per-month penalty clock starts 1 May, and it doubles at year end.

If you operate from a commercial premises — even a small office or godown — yes. If you genuinely have no commercial premises, the trade license may not apply, but Shops and Establishment registration and GST (above threshold) still will.

The GTL covers shops, offices, showrooms and warehouses and is now obtained through the MCD property tax portal at 15% of property tax. The Health Trade Licence covers food and public-health trades (restaurants, hotels, salons, bakeries) and is applied for separately on mcdonline.nic.in with category-wise fees. A food business needs the health license; paying property tax alone is not enough.

For the General Trade Licence, it is 15% of the annual property tax for the premises — ₹20,000 in property tax means a ₹3,000 license fee. Health Trade Licence fees follow a category schedule with a ₹550 processing fee plus registration and license fees per trade.

General Trade Licence: the MCD property tax portal, using your UPIC. Health Trade Licence: mcdonline.nic.in, selecting your zone and the Trade/Storage Licence option. The old separate GTL portal no longer accepts applications.

UPIC is the Unique Property Identification Code linked to your premises in MCD records. Under the integrated system, you are identified through it — without the UPIC you cannot proceed with the GTL application. Find it on your property tax bill or the MCD portal.

The General Trade Licence is valid for one financial year (April to March). The Health Trade Licence is issued for one financial year first, and renewals can be taken for up to six financial years at a stretch.

Renew the GTL between 1 and 30 April with your property tax payment — no penalty in that window. Renew the health trade license before its expiry; the portal opens renewals well in advance (for FY 2026-27, from 1 January 2026).

After the 30-day grace window, the MCD charges 5% per month, doubling at the end of the year. Operating on an expired license is treated as operating without a license.

Yes. Operating without a license violates Section 417 of the DMC Act, and the MCD issues closure notices under Sections 407(2), 417 and 423 — courts have upheld sealing in such cases. Prosecution under Section 461 can follow.

No. Delhi Police NOC is no longer required for health trade licences for hotels, restaurants, gaming parlours, auditoriums, amusement parks and swimming pools under current MCD orders.

Only if the area is a conforming area for the trade. The health trade license is void for premises in a non-conforming area. Check the locality's status under the Master Plan before applying.

If you are an MSME with Udyam registration, the Udyam certificate is recognised as permission under Sections 416/417 — you pay 5% of property tax with your tax payment and no separate license is issued. Large units use their allotment letter or lease deed similarly.

Identity and address proof of the proprietor/partners/directors, entity PAN, incorporation or partnership documents, premises proof (rent agreement, electricity bill, UPIC), site plan, photographs, and trade-specific documents. Health trades additionally need category documents — and a fire NOC for restaurants and catering.

Yes. Legal heirs can apply with the original license, death certificate, NOC from other heirs with their ID proof, an affidavit, and a ₹1,100 registration and processing fee. For non-heirs, a fresh license must be applied for.

No. The license is premises-specific — each branch or outlet needs its own license for its own address.

Yes. They are different permissions from different authorities — Shops and Establishment is the state labour department's registration of your workplace; the trade license is the municipality's permission for the trade at the premises. One does not substitute for the other.

For health trades, rejections usually trace to documents, category mismatch or non-conforming area. Address the stated reason and re-apply; the amendment facility (live since March 2025) handles corrections to existing licenses.

If the activity is commercial and falls under the licensed trades, yes — the municipality's jurisdiction covers household-based commercial activity too, under the same fee schedule. Check your trade category.

Yes — if any statement in the self-declaration is found false, if the trade contravenes the Master Plan or the Delhi Special Provisions Act, or if license conditions are violated. Cancellation follows a hearing; restoration is possible through appeal once contraventions are removed.

For the GTL, log in to the MCD property tax portal and view your payment history — the receipt is the license. For the health trade license, check application status on mcdonline.nic.in with your application number.
