What is Section 8 Company??

Section 8 of the Companies Act, 2013 covers the provisions for incorporation of Non-Profit Organizations/Non- Government Organizations (NPO/NGO) that are intended for charitable causes in the fields of education, environment, child welfare, religion, science, sports, research, social welfare and the likes. These organizations function like limited companies, except that the dividends cannot be paid to their members, and the profits, if any, are to be used solely for the purpose of promoting the organization’s objectives.

NGOs are similar in nature to Trusts or Societies, except that they are registered under the Ministry of Corporate Affairs, whereas Trusts/ Societies come under State Government regulations. While Trusts are managed by Trustees as per a Trust Deed, Section-8 companies are managed by a Board of Directors based on their MOA and AOA. A Section-8 company requires at least 2 directors for incorporation, but there is no upper limit on the number of directors.

This, however, has various advantages when it is compared to Trust or Society and it also has higher credibility amongst the donors, Government departments, and other stakeholders. Further, the key feature of this Company is that the name of the Company can be incorporated without using the word “Limited” or “Private Limited” as the case may be.

Like other companies, a Section 8 Company will also have revenue, expenses, profits and losses. However, in a Section 8 Company the profits can be used only for the charitable or not-for-profit purposes mentioned in the MOA, and the company dividends cannot be distributed among the members of the company. Section-8 Companies can be suffixed with words like Association, Foundation, Society, Council, Club, Charities, Institute, Academy, Organization, Federation etc., as per their nature and function.

    Furnish the Pre-requisites
