Every company's Memorandum of Association (MOA) carries an objects clause, and the main objects sit at its heart. This clause spells out the core business activities your company is formed to undertake - whether that is financial services, manufacturing, trading, or consultancy. The Registrar of Companies examines these objects when you apply for company registration, and banks, investors, and business partners often read them to understand exactly what your company is set up to do.
Getting the main objects right matters. Your company is expected to operate within the activities listed in its MOA, and taking up a completely new line of business later means formally altering the memorandum. The sample clauses below show how main objects are typically worded for this business type. Use them as a drafting starting point, and have a Company Secretary or legal professional review the final version before filing.
1. To carry on the business of farming, horticulture, floriculture, sericulture, dairies, cultivators of all kinds of food grains, seeds, fruit, proprietors of orchard and traders, exporters and sellers of and dealers in products of farming, dairy, horticulture, floriculture, sericulture and pisciculture and fishing and manufacturers of drinks, alcoholic or otherwise including beverages produced from such products or otherwise.
2. To carry on the business of cultivators, growers, manufacturers, millers, grinders, rollers, processors, coldstorers, canners and preservers and dealers of food grains and other agricultural dairy, horticulture and poultry products, fruits, vegetables, herbs, medicines, flowers, drinks, fluids, gas and fresh, and preservable products.
3. To extract by products and derivatives, whether edibles, pharmaceuticals, medical or of any kind or nature whatsoever and food preparations of every kind and description.
4. To carry on all or any of the business of farmers, pastoralists, grazers, agriculturalists, orchardists, nurserymen, market gardeners, harvesters, stock breeders, stud masters, wool growers, sheep shearers, wool scourers, and to carry on business as manufacturers, producers, processors, importers, exporters, traders, buyers, sellers, retailers, wholesalers, suppliers, indenters, packers, movers, stockiest, agents, sub-agents, merchants, distributors, consignors, jobbers, brokers, concessionaires or otherwise deal in farm, dairy, agricultural and garden produce of every description.
5. To purchase and acquire, sell and dispose of, deal in, import, export, breed and fatten cattle, sheep, horses, pigs, poultry, game and livestock of every description, animal feedstuffs, animal semen, chemicals, vitamins, hormones and other substances related to breeding or treatment of livestock and poultry and other commodities, goods or things connected therewith or related thereto.
6. To carry on business as manufacturers, producers, processors, importers, exporters, traders, buyers, sellers, retailers, wholesalers, suppliers, indenters, packers, movers, stockiest, agents, sub-agents, merchants, distributors, consignors, jobbers, brokers, concessionaires or otherwise deal in cheese, butter, yogurt, condensed and tinned milk and every form of milk sold in containers or of a special grade or equality, egg powders, powdered milk and all other products of farm produce.
