Every company's Memorandum of Association (MOA) carries an objects clause, and the main objects sit at its heart. This clause spells out the core business activities your company is formed to undertake - whether that is financial services, manufacturing, trading, or consultancy. The Registrar of Companies examines these objects when you apply for company registration, and banks, investors, and business partners often read them to understand exactly what your company is set up to do.
Getting the main objects right matters. Your company is expected to operate within the activities listed in its MOA, and taking up a completely new line of business later means formally altering the memorandum. The sample clauses below show how main objects are typically worded for this business type. Use them as a drafting starting point, and have a Company Secretary or legal professional review the final version before filing.
1. To carry on the business of advertising agents and publicity agents and releasers and contractors both outdoor and in newspapers, magazines, books, screens, journals, walls, buses, railway carriage, hoardings, souvenirs, catalogues, brochures, pamphlets, visiting cards, gift articles, diaries, presentation articles, audio cassettes, video cassettes or through any other media or other display devices of advertisement.
2. To erect posters, distribute handbills, to announce through loudspeakers, to erect panels for display of painted bulletins whether electrically, electronically illustrated, to exhibit by means of electric signs, neon signs, electronic display boards, films, slides, video cassettes, audio cassettes or displaying through the advertising material currently in vogue.
3. To carry on the business of advertising contractors and agents, designers and to purchase and sell advertising time or space on any radio station, television centre in India or abroad or any other media currently in vogue and to promote the sale or interest of its clients by organising trade fairs, exhibitions, road shows etc.
4. To prepare, advise, devise, compose, design, layout, manufacture, construct, install, fabricate, paint, finish, buy, sell, print, screen print all kinds of advertising and publicity material such as slides, cassettes, pamphlets, calendars, posters, hoardings, cutouts, etc.
