The trick that makes it all work

Here is the part that feels like magic until you understand it. Think of sending a trusted friend to collect a parcel for you. You cannot go to the counter yourself, so you give them a signed letter. The letter says: this person acts for me. The counter checks your signature, checks their ID, and hands over the parcel. Nobody finds this strange. It is how the world works.

And remember - the resident director does not need to own any shares. Your 100% ownership stays intact. Is there a way to skip the apostille step?

There is one. If the foreign directors and shareholders visit India on a valid business visa and sign the incorporation documents while in the country, the apostille step is generally not needed. Some founders fold it into a trip they were planning anyway.

Most founders I work with still choose the fully remote route. An apostille takes some effort, yes. But it is a well-understood process in every major country, and it is usually simpler than scheduling international travel around a filing calendar.

What usually causes delays?

Almost never the government's own processing. The delays I see are nearly always in the document stage: apostille offices with backlogs, a name spelt one way on the passport and another way on the bank statement, an address proof that is too old to be accepted, or a bank that takes longer than expected on the account-opening KYC. Each of these is avoidable with a careful checklist before anything is filed - which is why the document preparation stage deserves more attention than most founders give it.

The other quiet delay is time zones. When your advisory team spots a problem in your papers, a quick answer keeps things moving. A reply that takes a week costs a week. Pick a team that works in your hours - or at least one that responds fast. And get your own paperwork ready before the process starts, instead of hunting for documents mid-filing.

Once documents are clean and correctly attested, the MCA side typically moves in a matter of weeks. The realistic way to think about the timeline is this: the paperwork sets the pace, not the portal.
